Effective date: November 3, 2026
This is the license agreement for the Memento app for Mac. It explains what you may do with Memento, what we promise and what we do not. By installing or using Memento you agree to it. If you do not agree, do not install or use Memento.
In this agreement, "Memento" means the app, its updates and its documentation, and "we" and "us" mean Memento. Memento is copyright © 2025–2026 Memento. All rights not granted here are reserved.
Using Memento
Memento is free. We give you a personal, non-exclusive, non-transferable license to download, install and use Memento on any Mac you own or control, for personal use or for work, including inside a company. The license is free of charge and has no limits on minutes or recordings.
If you accept this agreement for a company or other organization, you confirm that you are allowed to do so on its behalf.
What you may not do
Unless the law allows it despite this restriction, or we agree in writing, you may not:
- sell, rent, lend, sublicense or otherwise redistribute Memento or its installer, or offer it as a hosted service to others (point people to meementoo.com instead);
- copy, modify or create derivative works of Memento, other than ordinary backups;
- decompile, disassemble or reverse engineer Memento, except to the extent applicable law permits this despite this restriction;
- remove or change copyright, license or attribution notices;
- get around download invitations, update checks, security measures or the restrictions in this agreement; or
- use Memento to break the law or to violate other people's rights, including their privacy.
Memento's source code is not open source. This license covers the app; it does not give you any rights to the source code, or to the Memento name and logo.
Your recordings are yours
Everything you record, import, transcribe, name or export with Memento ("your content") belongs to you or to whoever owns it. We claim no rights in it, and we do not receive it. Memento keeps it on your Mac, as the Privacy Policy explains.
You are responsible for your content and for how you use it. Recording conversations is regulated: in many countries and states you must tell people, or get everyone's consent, before recording them. Make sure you are allowed to record and to keep voice profiles of the people you record.
Transcripts can be wrong
Memento uses machine-learning models. Transcripts, speaker labels, summaries and search results can contain mistakes, miss words or attribute speech to the wrong person. Check anything important against the recording before you rely on it or share it. Memento is not a source of legal, medical, financial or other professional advice.
Beta, updates and support
Memento is currently in beta and may change, behave unexpectedly or lose features. Downloads may require an invitation code, which is personal and may be revoked.
Memento checks for updates and offers to install them. Updates may add, change or remove features, and this agreement applies to them unless an update comes with different terms. We may stop offering Memento or updates at any time. Support, when we offer it, is by email and on a best-effort basis.
Other services and models
Memento can download speech, speaker and search models from Hugging Face and GitHub, and can send audio to a transcription provider that you choose and set up. These services and models are provided by others under their own terms. We do not control them and are not responsible for them. You are responsible for following their terms, including any provider fees.
Third-party software and models
Memento includes open-source software. Each component remains under its own license, and nothing in this agreement limits the rights those licenses give you. The main components are:
- Tauri (MIT or Apache-2.0)
- whisper.cpp (MIT) and whisper-rs (Unlicense)
- ONNX Runtime (MIT)
- OpenBLAS (BSD-3-Clause)
- SQLite (public domain)
- Symphonia (MPL-2.0). Memento includes modified versions of some Symphonia files. You can request the source code of those files at legal@meementoo.com.
- SpeakRS (Apache-2.0)
- React (MIT)
- Geist typeface (SIL Open Font License 1.1)
Copies of these licenses are available at legal@meementoo.com.
The models you download are not part of Memento. They come from their authors under these licenses:
- Whisper models by OpenAI, in the GGML format converted by the whisper.cpp project (MIT).
- ivrit.ai Whisper Large v3 Turbo by ivrit.ai, a Hebrew version of Whisper (Apache-2.0).
- Parakeet TDT 0.6B v3 by NVIDIA, converted to ONNX by istupakov (CC BY 4.0). Converted to a different file format; no other changes.
- pyannote speaker-diarization-community-1 by pyannoteAI, as packaged by the SpeakRS project (CC BY 4.0). Packaged for SpeakRS; see the SpeakRS model repository for changes.
- BGE Small English v1.5 by the Beijing Academy of Artificial Intelligence, converted to ONNX by Xenova (MIT).
- Silero VAD by the Silero team (MIT).

No warranty
Memento is provided free of charge, "as is" and "as available". To the fullest extent the law allows, we make no promises of any kind about it, express or implied, including that it is fit for a particular purpose, accurate, uninterrupted, secure, error-free or that it will not lose data. Keep your own backups of recordings that matter to you.
Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or business, arising from Memento or this agreement, even if we were told such loss was possible. Our total liability for all claims about Memento or this agreement is limited to 100 US dollars.
Some places do not allow these exclusions or limits. Where that is the case, they apply only as far as the law permits, and nothing in this agreement limits liability that cannot be limited by law, or rights you have as a consumer that cannot be waived.
Ending this agreement
You can end this agreement at any time by uninstalling Memento. If you seriously break this agreement, your license ends automatically. When the license ends, stop using Memento and delete it. Your content stays yours, and the sections on your content, third-party licenses, warranty, liability and governing law continue to apply.
Changes to this agreement
We may update this agreement, for example when Memento changes. We will publish the new version here with a new effective date. Changes apply to versions of Memento released after that date; if you do not agree, do not install those versions.
General
Nothing in this agreement takes away rights you have under the consumer law of the place where you live.
If any part of this agreement is found unenforceable, the rest stays in effect. This agreement, together with the Privacy Policy, is the entire agreement between you and us about Memento.
